Overview

Mike Reed is a partner and member of Chapman's Corporate and Securities Department. Mike maintains a broad transactional practice, with significant focus on energy and infrastructure projects and related financing transactions. His transactional work also extends to the firm’s Investment Management practice and includes venture capital funding and a variety of transactions representing registered investment advisers, funds and broker-dealers.

Mike’s energy-focused transactional practice includes large-scale generation facility construction, retrofit and decommissioning projects, the purchase and sale of generation assets and both gas and electric distribution and transmission assets. In addition to traditional utility transactional and financing work, he represents a variety of clients in the renewable energy industry, including development and financing of solar, wind, and hydroelectric facilities.

Working alongside the firm’s Investment Management team, Mike routinely handles early stage debt and equity funding transactions, advisor and fund reorganizations and purchase and sale transactions.

Prior to rejoining Chapman in 2018, Mike spent several years practicing in the major projects group of a large global law firm. Before entering private practice, he served as in-house counsel for a large utility holding company, where he focused on corporate transactions, real estate, and general corporate matters.

Representative Matters

  • Represented the seller of a hydroelectric generation project to an independent power producer and accompanying PPA for purchase of energy and environmental credits.

  • Represented an investor-owned utility in a multi-step sale of minority interests in a thermal power plant in a series of transactions arising from a regulatory settlement.
  • Representation of a community solar company in its regulatory strategy and negotiation of agreements during its expansion into various states that implemented community solar regulatory structures.
  • Representation of an investor-owned utility in the amendment and restatement of its mortgage indenture and the subsequent issuance over several transactions of over $800 million of first mortgage bonds.

  • Representation of a venture capital fund in connection with multiple early round investments, primarily in healthcare and healthcare technology companies.
  • Representation of ETF fund sponsors in negotiation and execution of license and index agreements.
