Overview

Chapman and Cutler represents buyers, sellers, and financing parties in connection with acquisitions, joint ventures, and other principal finance transactions involving transfers of assets. Our attorneys have experience representing clients in all aspects of portfolio finance, from preparing bids to negotiating documentation for the purchase and servicing of assets to structuring the financing in the form of a securitization or other asset-based financing transaction. Assets acquired in such transactions include credit card accounts and receivables, student loans, consumer loans, small- or medium-ticket equipment leases, rail cars, commercial loans, and others.

For example, we served as issuer's counsel on behalf of a public company in connection with the simultaneous acquisition and cross-border securitization of a portfolio of railroad rolling stock located in Canada, Mexico, and the United States.

We are engaged to advise on many aspects of these types of transactions including in-depth due diligence reviews of portfolio contracts and related assets, negotiating definitive acquisition agreements, and serving as securitization issuer's counsel. In addition, we regularly represent buyers and sellers of portfolios of trusteeships, agency relationships, and master servicer appointments.
