Chapman served as lead acquisition and financing counsel to Clairvest Group Inc. and Clairvest Equity Partners VI in a joint acquisition with ECL Entertainment, LLC of Wyoming Downs, a live horse racing and off-track gaming facility which includes historical horse racing and simulcast throughout the state of Wyoming. Partner Cathy Rossouw and associate Helena Honig led the Chapman acquisition-side deal team that included Carson Klarck, Michael Friedman, Heath Martin, and Kristin Parker, and Chapman partner Nick Whitney led the Chapman debt-side deal team that included Mike Myones, Carson Klarck, and Veronica Constable.

This is Chapman’s fourth gaming transaction as counsel to Clairvest. Prior representations have included representing Clairvest, partnering with ECL, in acquiring two New Hampshire gaming companies operating the Lucky Moose Casino and River Casino and the financing of a new facility in New Hampshire, and prior to that, the acquisition and financing of the Delaware Park casino and racetrack.

Wyoming Downs follows a number of other casino and racino transactions Chapman has closed in recent years, including representing Centaur Holdings, LLC in connection with the sale of two Indiana-based casinos and horse racing tracks to Caesars Entertainment for $1.7 billion, and representing Spectacle Entertainment in the acquisition, financing and development of the Hard Rock Northern Indiana Casino.
