Overview
Preston Swapp is senior counsel and a member of Chapman's Public Finance Department. Preston’s practice focuses on energy and project financings for joint action agencies, municipal utilities, and public utility districts throughout the United States, where he serves as bond counsel, disclosure counsel, and/or underwriter’s counsel. Preston has represented cities, counties, water and sewer districts, public power utilities, universities, school districts, healthcare entities, underwriters, and banks in connection with the issuance of tax-exempt and/or taxable bonds (including securitizations), notes, and loans. He has also advised clients in municipal bankruptcy proceedings.
Preston rejoined Chapman after two years as senior counsel in the Office of Municipal Securities (OMS) at the US Securities and Exchange Commission (SEC). OMS is responsible for administering SEC rules on the practices of broker-dealers, municipal advisors, investors, and issuers in connection with municipal securities. While at the SEC, Preston focused on rulemaking, legislation, policy formulation, and providing guidance to municipal market participants on SEC rules, as well as providing subject matter expertise to SEC staff in connection with municipal securities examinations and enforcement actions.
Prior to Chapman, Preston practiced in the San Francisco offices of two Am Law 20 firms.
