Overview
Tom Infurna is a partner and member of Chapman's Banking and Financial Services Department and Commercial Lending and Real Estate Finance Groups. Tom has extensive experience handling complex commercial real estate and asset-based financing transactions. He represents portfolio lenders and lenders in the CMBS industry on transactions involving senior mortgage financings, mezzanine financings, preferred equity investments, A/B note structures, conduit loans, construction loans, bridge loans, and syndications. Tom also advises on matters involving asset-based finance, franchise finance, distressed debt acquisitions and workouts, whole loan and portfolio sales and acquisitions, and the acquisition and disposition of commercial real estate. His clients include commercial and investment banks, conduit lenders, life insurance and capital companies, pension fund advisors, and real estate investors and developers.
Prior to joining Chapman, Tom practiced law with a Philadelphia-based law firm.
Representative Matters
- Drafted master loan documents and policies and procedures in the capacity of program counsel for commercial real estate lenders and loan programs.
- Advised commercial lenders on licensure and state “foreign qualification” requirements.
- Represented lenders in fixed rate and floating rate commercial real estate loans for balance sheet transactions and CMBS and CLO securitization.
- Advised on compliance with rating agency requirements for commercial loan securitization.
- Created master loan documents and policies and procedures for franchise finance lenders and loan programs.
- Negotiated intercreditor, co-lender and participation agreements in syndicated loan transactions.
- Represented sellers and purchasers with respect to portfolio and single loan sales.
- Handled restructuring, workout, and foreclosure of commercial mortgage loans.
- Represented banks, investment banks, private wealth managers, and other institutional lenders in asset-based and unsecured commercial loans.
- Represented borrowers in the negotiation and closing of commercial loan transactions.
