Overview

Chapman and Cutler assists clients with streamlining documentation provided to cash management customers by developing "Master Agreements" with product-specific service descriptions. These can be revised from time to time as the product changes, legal or regulatory requirements mandate changes or new products are created.

Chapman provides legal services on a broad array of cash management and payment systems products.

Our practice group works with ACH and wire transfers, preauthorized debit, controlled disbursements, foreign currency, multicurrency, lockbox arrangements, blocked accounts, sweep accounts, positive pay, comprehensive payables, EDI and similar services for recipients of cash management services.

Additionally, the firm advises on Check 21, Uniform Commercial Code, ACH, contractual, NACHA, credit card association and debit network/ATM rules and regulations. In connection with cash management programs, the firm drafts and revises commercial deposit accounts and agreements.

Of particular note is the niche our group has developed in the area of automated teller machines ("ATMs"). We have negotiated ATM purchase, maintenance and upgrade contracts with Diebold, NCR and others. Recently, the firm assisted three banks and two credit unions in deploying ATMs at Chicago's O'Hare and Midway airports.
